1. Binding Agreement

Welcome to boxrecruiter.com.au ("the Website"). This Website is owned and operated by BoxRecruiter. By accessing, browsing, registering an account, uploading a CV, or posting job listings on the Website, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using the Website.

2. Scope of Services

BoxRecruiter operates an online recruitment platform that matches Job Seekers ("Candidates") with Employers/Corporate Clients ("Clients"). BoxRecruiter acts solely as a facilitator. We do not employ Candidates directly through this platform, nor do we guarantee that Candidates will secure employment or that Clients will successfully fill vacancies.

3. User Accounts and Verification

Accuracy of Information: Users (both Candidates and Clients) warrant that all information, credentials, corporate designations, resumes, and documentation uploaded to the Website are accurate, truthful, and complete. Security: You are solely responsible for maintaining the confidentiality of your account login credentials. Any activity occurring under your account is your sole legal responsibility. Account Termination: BoxRecruiter reserves the absolute, unilateral right to suspend, terminate, or delete any account at any time without notice if we suspect fraudulent, misleading, defamatory, or unlawful activity.

4. Special Provisions for Candidates

No Guarantee: You acknowledge that uploading your resume or applying for a role via the Website does not guarantee an interview, placement, or contract of employment.

5. Special Provisions for Clients (Employers)

Commercial Terms: While the use of certain basic platform functions may be free, the placement of candidates, access to premium databases, or dedicated sourcing campaigns are subject to separate, binding corporate service agreements and fee schedules. Compliance: Clients warrant that all job advertisements posted comply with the Fair Work Act 2009 (Cth), anti-discrimination legislation, and all other applicable Australian employment standards.

6. Intellectual Property Rights

All content, branding, code, proprietary software, design elements, layouts, graphics, and data compilation on the Website are the exclusive intellectual property of BoxRecruiter or its licensors and are protected under Australian and international copyright and trademark laws. You may not copy, scrape, reverse-engineer, modify, or distribute any part of this Website without our express prior written consent.

7. Acceptable Use and Restrictions

You strictly agree that you will not: Deploy automated bots, scrapers, spiders, or scripts to harvest data or user profiles from the Website. Post false, misleading, ambiguous, or deceptive job advertisements or applicant information. Transmit any malware, viruses, or code designed to disrupt the platform's architectural integrity. Utilise the platform to solicit users away to competing recruitment networks.

8. Limitation of Liability (The Ultimate Shield)

To the maximum extent permitted by applicable Australian law (including the Competition and Consumer Act 2010 (Cth)): "As Is" Basis: The Website and its services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Exclusion of Consequential Loss: BoxRecruiter shall under no circumstances be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, business interruption, loss of data, loss of employment opportunities, or failure to secure staff. Liability Cap: In the event that BoxRecruiter is found liable under common law or statute for any matter arising out of your use of the Website, our total aggregate liability to you shall be capped at AUD $100.00 or the exact amount paid by you to us for the specific service in dispute (whichever is lower).

9. Indemnification

You agree to indemnify, defend, and hold harmless BoxRecruiter, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on a full solicitor-client basis) arising out of or in connection with: Your breach of these Terms; Any misleading, fraudulent, or inaccurate information you upload to the Website; Your violation of any third-party rights, including intellectual property or privacy rights; or Any employment dispute arising between a Candidate and a Client following an introduction via the Website.

10. Third-Party Links and Portals

The Website may contain links to external job boards, client portals, or screening platforms. BoxRecruiter exercises no control over, and assumes no legal responsibility for, the content, uptime, privacy policies, or practices of any third-party websites.

11. Third-Party Links and Portals

If any provision of these Terms is found to be invalid, illegal, or unenforceable by an Australian court of competent jurisdiction, that specific provision shall be severed, and the remaining provisions of these Terms shall continue in full force and effect.

12. Governing Law and Jurisdiction

These Terms are governed by, and construed in accordance with, the laws of the State of New South Wales, Australia. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be subject to the exclusive jurisdiction of the courts of New South Wales and the Federal Courts of Australia.

13. Modifications to Terms

BoxRecruiter reserves the right to modify these Terms at any time. Amended terms become effective immediately upon being published on the Website. Your continued use of the Website following any updates constitutes binding acceptance of the revised Terms.
